Requirements for Establishing an Ohio Limited Liability Corporation

Limited Libaility Corporations are allowed in Ohio as well.  Most of the Ohio incorporation requirements for an LLC are the same as for the standard Ohio incorporation requirements.  Here are some of the differences:

Company Names

Instead of Incorporated, Company, or Corporation, Ohio LImited Liability Companies (Ohio LLC) must use the term "limited liability company", without abbreviation or shall include one of the following abbreviations: "LLC," "L.L.C.," "limited," "ltd.," or "ltd".  All other naming requirments remain the same.

Director Information

Ohio LLCs must have a minimum number of three directors, unless htere are only one or two shareholders of record, then the number can be reduced to the number of shareholders.  Directors must be 18 years old and are not required to be listed in the articles of incorporation.

Officer Information

Officers are not required to be listed in the articles of incorporation.
